On election of the new Board of Directors

24 April 2026, Almaty, JSC Halyk Bank (the «Bank») informs that on 23 April 2026 the Annual General Shareholders’ Meeting of the Bank was held, convened on the initiative of the Bank's Board of Directors and conducted by absent voting without holding the in-person General Shareholders’ Meeting (the «Annual General Shareholders’ Meeting»).

Due to expiration of the term of powers of the Bank's Board of Directors, at the Annual General Shareholders’ Meeting of the Bank (minutes to the Annual General Shareholders’ Meeting of the Bank No.54 dated 23 April 2026) it was resolved to elect the following persons to be members of the Board of Directors of JSC Halyk Bank: Zhaksybek Abdrakhmetovich Kulekeyev, Hermann Tischendorf, Piotr Romanowski and Henk Jan Hoogendoorn as the Independent Directors, Zhomart Dossankulovich Nurabayev as the representative of ALMEX Holding Group JSC, Arman Galiaskarovich Dunayev, Umut Bolatkhanovna Shayakhmetova, for the term of powers of 3 years. In accordance with the resolution adopted by the newly elected Board of Directors of the Bank (resolution on item 2 in minutes to the in-person meeting of the Bank's Board of Directors No.2 dated 23 April 2026), Arman Galiaskarovich Dunayev was elected as the Chairman of the Board of Directors of the Bank.

Thus, in accordance with the best international practices of corporate governance, the new Board of Directors of the Bank consists of seven Directors, four of whom are independent. All Independent Directors of the Bank meet the requirements established by the Law of the Republic of Kazakhstan «On Joint Stock Companies» for an independent director, as well as additional requirements determined by the Law of the Republic of Kazakhstan «On Banks and Banking Activities in the Republic of Kazakhstan».

As of the date of the Annual General Shareholders’ Meeting of the Bank, the elected members of the Bank's Board of Directors did not own voting shares of the Bank or shares (participatory interests in the authorized capital) in the Bank's subsidiaries in the amount of more than 1%.
